Short answer

A power of attorney establishes authority towards third parties; a mandate governs internal obligations between principal and agent. They may coexist but are not complete substitutes.

Practical example

An agent has broad authority but an internal minimum-price and reporting obligation. The third-party transaction and breach of mandate may have different effects.

What to do

Specify instructions, remuneration, expenses, reporting and remittance alongside external authority. Reflect important restrictions in the power where appropriate. Coordinate amendments to both documents.

Legal basis

Georgian Civil Code — Articles 103, 104, 709–715. Checked on 28 October 2026. The outcome depends on the contract, facts and evidence.
