Short answer
Invalidity of one part does not automatically invalidate the entire contract. The question is whether the transaction would have been made without it. Signatures cannot validate a clause contrary to mandatory law.
Practical example
A contract contains an impermissible liability exclusion. That clause may fail while the rest survives.
What to do
Identify the term and its impact on price, subject and obligations. Check any statutory replacement rule. Assess risks before suspending all performance; document agreed amendments in writing.
Legal basis
Georgian Civil Code — Articles 54, 62. Checked on 28 October 2026. The outcome depends on the contract, facts and evidence.
