Short answer

Interpretation goes beyond a word’s literal meaning to actual intent, the whole text and circumstances. Standard terms have additional rules. Ambiguity does not allow a party simply to choose its preferred meaning.

Practical example

Payment is due on handover, but it is unclear whether that means keys or registration. Drafts and negotiations may clarify it.

What to do

Keep all versions, annexes and correspondence. Propose written clarification using an example. If unresolved, present the claim and evidence in the contract’s full context.

Legal basis

Georgian Civil Code — Articles 52, 337–346. Checked on 28 October 2026. The outcome depends on the contract, facts and evidence.
