Short answer
A sham transaction intends none of its apparent effects. A disguised transaction conceals a different real arrangement, whose rules apply. Actual intentions and conduct determine the distinction.
Practical example
A purely formal sale differs from a real sale documented as a gift. In the latter, price and the concealed sale’s form matter.
What to do
Organise documents, funds, delivery and correspondence. Consider mandatory form and third-party interests. Renaming a transaction to avoid tax or restrictions does not make it lawful.
Legal basis
Georgian Civil Code — Articles 56, 59, 68. Checked on 28 October 2026. The outcome depends on the contract, facts and evidence.
