Short answer

A material change to the contractual basis may justify adaptation. Not every price increase or business failure suffices. Original assumptions, scale of change and risk allocation matter.

Practical example

An unforeseen event makes unchanged performance exceptionally burdensome. The parties should first attempt adaptation.

What to do

Document timing, original calculations and impact. Propose specific terms and keep negotiation records. Withdrawal requires failed adaptation and applicable conditions; unilateral repricing is not automatically permitted.

Legal basis

Georgian Civil Code — Articles 398. Checked on 28 October 2026. The outcome depends on the contract, facts and evidence.
