Short answer
A transaction made only for appearance without intending its legal effects may be invalid. If it conceals another transaction, that underlying arrangement also matters. Nonpayment alone does not always prove fiction.
Practical example
The parties transfer title formally while intending neither delivery nor payment. That differs from a genuine sale with an overdue price.
What to do
Collect correspondence, payments, possession history and the real agreement. Assess later buyers and registration separately. Using such arrangements to conceal assets from creditors creates further risks.
Legal basis
Georgian Civil Code — Articles 56, 183, 185. Checked on 28 October 2026. The outcome depends on the contract, facts and evidence.
