Short answer
Earnest money is credited towards the price on performance. If the deal fails, consequences depend on cause and responsibility. The payer’s culpable breach can allow retention; other situations require separate assessment.
Practical example
A buyer simply changes their mind and seeks repayment. That differs from the seller being unable to transfer the property or failure to meet mandatory form.
What to do
Keep the agreement, payment evidence and proof of readiness to perform. Establish whether it was earnest money or an advance. Record any negotiated refund and deadline in writing.
Legal basis
Georgian Civil Code — Articles 421, 422, 423, 59. Checked on 28 October 2026. The outcome depends on the contract, facts and evidence.
